CimpleChat Leads Usage Costs & Allowances:

System Contact Agreement Overages:

Your agreement above is based on your initial usage level. If you go above your contracted contact usage, your account will be billed overage costs for the specific period. This agreement acknowledges that your company will be responsible for the contact usage and billed accordingly. The below costs state the pricing for usage overages and optional verification costs. They do not add additional monthly email or sms segments to this agreement.


Email Overages:

1.    Your account includes the amount of emails stated in the above agreement, sent via the platform per month. (This does not include emails sent from your normal email service provider.)

2.    Additional emails sent in each month will be charged $5.00 per 1000 emails sent. Your account will be billed based on how many emails were sent during that month.

SMS/MMS/Voice Overages:

1.     Your account includes the amount of SMS/MMS/Voice segments stated in the above agreement, sent via the platform per month.

2.     Voice & SMS Usage:

Local Phone Number = $4.50/month + $4.50/month

A2P Fee Toll Free Number = $6.50/month A2P Registration Fee (Per Number) = $40.00 - 1 Time Cost.  

SMS Usage = $0.03 / segment (Inbound & Outbound)

MMS Usage = Outbound = $0.06 / Segment, Inbound = $0.03 / Segment

Voice Calls = Outbound = $0.0532 / Minute, Inbound = $0.0323 / Minute

SMS/MMS/Voice Definitions: SMS segments:

160 character batches that phone carriers use to measure text messages. Each segment must be 160 characters or less and contain no images/video. If Emojis are used only 70 characters are included per segment.

MMS segments:

Any images or videos that are sent are referred to as MMS. MMS messages are limited to 1-2MB depending on the carrier.

Voice segments:

All voice is charged per minute, inbound or outbound calls.  

Email Verification:

Email verification services are an optional service that is available to your account. This cost if used is a per use charge of $5.00/1000 emails verified. Usage fee’s will be billed according to usage in the given period.  

SMS/Phone Number Verification:

SMS verification services are an optional service that is available to your account. This cost if used is a per use charge of $10.00/1000 phone numbers verified. Usage fee’s will be billed according to usage in the given period.

I acknowledge the above usage based additional costs. These cost will be added to your account only if you go over the stated Email/SMS/MMS segments from above in a given month or if you utilize or activate Email/SMS/Phone Number Verification for the actual number of verifications in that month. These charges will not change your agreed upon monthly/annual pricing from above.   All the above usage/overage charges will be billed on the 1st day of the next month.    

Terms of Service  

1.     I agree to all terms stated below and hereby authorize Core Integrated Marketing, Cimplify, CimpleChat or any entity of Printcrazy LLC, to bill my credit card provided, for any charges, overages or optional items that are included via this agreement. If you default on payment you agree to pay all collection and court costs. This card will be kept on file for all future orders unless canceled by request.

2.     For monthly billed clients, your company will be charged on the first day of every month. The first payment will include any set- up costs and the first month of service. This payment will be made on the date the agreement is signed per the date noted below. Agreements dated after the first of the month will be charged a prorated rate at the time this agreement is signed.  For annually billed clients, your company will be charged on the day your agreement is signed.  Your agreement will renew and charge to that payment method automatically each year on this date.  

3.     Multitouch Leads software packages includes proven email, sms, automated workflows, custom integrations and other marketing campaigns. Due to these proprietary provided items, All marketing campaigns, integrations, email designs, workflows, tasks or custom solutions created on your companies behalf by Core Integrated Marketing that are not directly purchased as a custom project are the sole possession of Core Integrated Marketing and cannot be used or transferred for any future marketing campaigns or solutions without the express written consent of Core Integrated Marketing. All collection costs associated with the protection and/or payment for these campaigns or marketing assets will be the responsibility of the company signed below. Any custom solutions or campaigns that are requested by the client and paid for in full or items provided to Multitouch from the client, are the property of the client and can be used or transferred at the client’s discretion.  

4.     Email Spam Policy - Your Company is responsible for your email list validity. The use of purchased lists is strictly prohibited. If your organization is flagged as a spammer or sends email to spam-traps and gets blacklisted, you will still be responsible to pay for the remaining term of your contract.  

5.     Your term will auto-renew upon contract expiration based on the term originally contracted, unless Core Integrated Marketing receives 30 days advanced written notification.  

6.     To cancel a 12 month service Agreement, your company must provide 30 days advance written notification. In the event that the required notification is not received by us, the service Agreement will be automatically renewed for another 12 month Service Agreement. To cancel a Month to Month service Agreement, your company must provide 30 days advance written notification. In the event that the required notification is not received by us, the service Agreement will be automatically renewed for another 1 month Service Agreement.  

The terms and provisions of any purchase order, confirmation document or correspondence of your company which are inconsistent with the Terms of Agreement as set forth herein shall not be binding on Core Integrated Marketing, Inc. and shall not be considered applicable to any sale or contract made by this Agreement. Your company shall be responsible for a late penalty of 1 1/2% per month (18% per annum) for the full amount due in the event that your company does not make payment as and when due. In the event a payment is missed or credit card charge is contested, Core Integrated Marketing has the right to charge for all remaining contracted months in one last payment.  

CORE INTEGRATED MARKETING INC.S’ LIABILITY SHALL BE LIMITED TO ITS STATED CONTRACT PRICE AND SHALL IN NO EVENT INCLUDE SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING, BUT NOT BE LIMITED TO, YOUR COMPANY’S LOST REVENUES OR PROFITS, GOODWILL, COST OF CAPITAL, COST OF SUBSTITUTE SERVICES, DOWN TIME COSTS, CLAIMS OF YOUR COMPANY’S CUSTOMERS FOR ANY DAMAGE, OR ANY OTHER SPECIAL OR CONSEQUENTIAL DAMAGES.

The remedies herein reserved by Core Integrated Marketing, Inc. shall be cumulative and in addition to any other legal remedies. No waiver of a breach of any portion of this Agreement shall constitute a waiver of continuing or future breach of such provision or any other provision of it. In the event that Core Integrated Marketing, Inc. must initiate or defend litigation, collections or other actions arising out of this Agreement, Core Integrated Marketing, Inc. shall be entitled to recover from your company its costs and reasonable attorney’s fees. This Agreement between the parties shall be governed and shall be construed according to the laws of the State of Illinois without regard to its conflicts of law’s provisions.    

API Usage:

API usage, if applicable, hosted by Core Integrated Marketing will come with additional hosting costs based on usage. This amount is not included in this agreement and will be added with client approval based on agreed upon specific requirements.  

Set-Up Costs:

-Custom set-up or integration requests for other product category or email drip campaigns will be billed based on agreed upon costs prior to work being completed. This cost will be added to a standalone invoice.

-Sales training is included in the first 30 days of onboarding.  Additional Sales training, new representative training, marketing support, campaign creation, custom reports or any other non-support work is available for additional costs after the 30 day on-boarding time period or included as a time based requests with the Starter, Premium or Elite Packages.

-All packages will be given initial training session and onboarding per the above agreement. Ongoing technical support will also be provided based on package selected. If other services or requests are needed, they will be billed on a per request basis or included as a time based requests with the Starter, Premium or Elite Packages.
